Terms of Service

In this document, “Pivelion”, “we”, “us” means Pivelion Tech LLC, a Wyoming limited liability company located at 30 N Gould St Ste N, Sheridan, WY 82801, USA.

1. Services

Pivelion provides (a) custom software development, consulting and support services under a written statement of work (“Services”), and (b) Pivelion Flow, a subscription cloud software product (“Subscription”). By using our website or purchasing from us you agree to these Terms.

2. Eligibility and accounts

You must be at least 18 and have authority to bind the business you represent. You are responsible for keeping login credentials confidential and for activity under your account.

3. Fees and payment

• All fees are in US dollars and exclude applicable taxes.
• Card payments are handled by a PCI-compliant third-party payment processor, whose terms may also apply. Pivelion does not store full card numbers.
• Subscriptions renew automatically each month or year until cancelled. Services are invoiced as set out in the statement of work, generally with payment due within 15 days.
• Late amounts may be suspended after notice.

4. Delivery

Services and Subscriptions are digital and delivered electronically. Subscription access is activated after successful payment, usually within minutes. Services are delivered per the milestones in the statement of work. No physical goods are shipped.

6. Intellectual property

Pivelion retains all rights in Pivelion Flow and our pre-existing tools. Upon full payment, ownership of custom deliverables created specifically for you transfers to you, except for third-party and open-source components, which remain under their licenses. You keep ownership of your data.

7. Acceptable use

You may not use our products to break the law, infringe rights, distribute malware, attempt unauthorized access, or resell the Subscription without written consent. We may suspend accounts that violate these rules.

8. Warranties and liability

Services are performed with reasonable skill and care. Except as stated, the Subscription is provided “as is”. To the maximum extent permitted by law, Pivelion’s total liability is limited to the fees you paid in the 12 months before the claim, and we are not liable for indirect or consequential damages.

9. Termination

You may cancel at any time. We may terminate for material breach with notice. On termination you may export your data for 30 days, after which it may be deleted.

10. Governing law

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law rules. Disputes will be brought in the state or federal courts located in Wyoming.
